Bulk SMS Agreement

1. ACKNOWLEDGEMENT AND ACCEPTANCE OF THE TERMS AND CONDITIONS OF BULK SMS SERVICE: The bulk SMS referred to later as the " Service ", owned by Al Hammadi Information Technology is provided to you (the "Customer") under the terms and conditions set forth below.

MOBILE DATABASE SUBMITTED BY THE CUSTOMER: The customer should bear full legal responsibilities of the advertising campaign in case of using his own database, and he should list the customer's name at the header and footer of the message, and he should also submit this database in an official written letter to clarify it, and the company shall not unveil this database to any third party except with a prior written consent of the customer himself or his representative.

MOBILE DATABASE SUBMITTED BY THE COMPANY: The company should bear full legal responsibilities of the advertising campaign in case of using its own database, and it should list the customer's name at the header of the message, whereas at the footer there will be this phrase: " Powered by Resalh.com", in order for the recipient of sms to know that this sms is from www.resalh.com and that as per Resalh Terms of Service on which He the recipient of sms has agreed .

4. NO RESALE OF THE SERVICE: The customer shall not transfer or assign this agreement and its contained rights to any other party without a prior written consent of the company Al Hammadi Information Technology, which has the right to gain all revenues of this procedure if occurred.

5. USAGE OF BULK SMS SERVICE:

   • The customer agrees to follow all terms and laws when using this service, and also that he is to be responsible for the SMS contents sent through the service.

   • The company will not be responsible for any delay and errors occurring due to the following reasons:

   1. When Resalh User, the recipient of the SMS message has given invalid data or any other incorrect information and he has changed his ID (mobile number …etc) before sending the message to him.

   2. If Resalh User was out of his operating network. In this case, the company will not be responsible for any damages happen to the person himself or his mobile phone.

   3. In case Resalh User the recipient has got the message although his mobile phone doesn't support it, or in case of some errors mentioned above, the company has the full right to deduct SMS credit from the customer's account.

6. BULK SMS CAMPAIGN REPORT:

   • A report of Bulk SMS campaign will be shown to the customer, in both previous cases of using the databases, as follows (example):

   • In case the company submitted the database used in the campaign, this report belongs only to the company and the customer has no right to claim it

7. PERIOD OF THE CONTRACT: This contract is valid only for One Bulk SMS Campaign unless the Customer gets a written consent of the company Al Hammadi Information Technology to extend this contract for another campaign.

8. Payment:

   • The Customer shall pay Al Hammadi Information Technology ( 0.20 S.R per SMS ) in case the database was submitted by the customer, and shall pay ( 0.22 S.R per SMS ) in case the database was submitted by the company.

   • If the customer chooses to customize the company's Mobile database, then a (0.02 S.R) will be added on each message.

9. Conclusion: This contract agreement has been drawn up in English in two copies which have been signed by the two parties , a copy to be delivered to each contracting Party
